1. Agreement to Terms

By accessing or using Quotify (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all users, including licensed insurance agents and professionals.

2. Description of Service

Quotify is a professional insurance quoting platform designed for licensed insurance agents. The Service provides tools to generate, compare, and send insurance quotes to clients. Quotify is a software tool and does not provide insurance products, underwriting services, or act as an insurance carrier.

3. Eligibility and Account Registration

3.1 Eligibility

You must meet the following requirements to use the Service:

  • Be at least 18 years of age
  • Hold a valid insurance license in your state of operation
  • Have the legal authority to enter into this agreement
  • Not be prohibited from using the Service under applicable laws

3.2 Individual Account Requirement

Each account is licensed for use by a single named insurance professional. Account credentials may not be shared with, transferred to, or used by any other individual, including other licensed agents, unlicensed staff, or assistants. Each user of the Service must maintain their own individual account and active subscription. Violations of this requirement may result in immediate account termination.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. We enforce concurrent session limits and may restrict access if unusual activity is detected on your account.

4. Subscription and Payment Terms

4.1 Subscription Plans

Quotify operates on a subscription-based model. By subscribing, you agree to pay the applicable subscription fees as displayed at the time of purchase. All payments are processed securely through Stripe, our third-party payment processor.

4.2 Billing and Renewal

  • Subscriptions automatically renew at the end of each billing period
  • You will be charged the then-current subscription rate
  • We will notify you of any price changes in advance
  • You authorize us to charge your payment method on file

4.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

4.4 Refunds

Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. We do not provide refunds or credits for partial months of service or unused features.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Share your account credentials with any other individual or allow others to access the Service through your account
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Misrepresent your identity or affiliation
  • Use the Service to send spam or unsolicited communications
  • Circumvent or attempt to circumvent session limits, access controls, or security measures

6. Professional Responsibility

As a licensed insurance professional, you acknowledge that:

  • You are solely responsible for compliance with all insurance regulations
  • You must verify all quotes and information before presenting to clients
  • Quotify provides tools only; final underwriting is determined by carriers
  • You are responsible for maintaining your professional licenses
  • You must comply with all applicable state and federal insurance laws

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Quotify and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

8. Data, Privacy, and Regulatory Compliance

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

You acknowledge that client information entered into the Service may include nonpublic personal information (NPI) as defined under the Gramm-Leach-Bliley Act (GLBA) and protected health information (PHI). You are solely responsible for:

  • Obtaining any necessary consents from your clients before entering their information into the Service
  • Complying with all applicable federal and state privacy laws, including HIPAA and GLBA, with respect to client data you enter into the Service
  • Ensuring that your use of the Service, including the transmission of client data via email quotes, complies with your professional obligations and applicable regulations
  • Maintaining your own records and compliance documentation as required by your state's insurance regulatory authority

9. Account Monitoring and Security

To protect the security and integrity of the Service, we monitor account activity, including:

  • Login sessions, IP addresses, and device information
  • Usage patterns and concurrent session activity
  • Access to client data, including timestamps and actions performed

We enforce concurrent session limits and may suspend or terminate accounts exhibiting suspicious activity, unauthorized access attempts, or violations of these Terms. Audit logs of account activity are maintained for compliance and security purposes.

10. Disclaimers and Limitations of Liability

10.1 Service Provided “As Is”

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Accuracy

While we strive to provide accurate quote information, we do not guarantee the accuracy, completeness, or reliability of any quotes generated through the Service. Final rates and coverage are determined by insurance carriers through their underwriting process.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Quotify and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through:

  • Good faith negotiations between the parties
  • Binding arbitration if negotiations fail, administered in accordance with the rules of the American Arbitration Association
  • The exclusive jurisdiction of the state and federal courts located in the State of California

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
